annual amounts for the lead director ($30,000), committee chairs ($12,000 to $18,000, depending on the
committee), and directors who serve on the audit committee or the science and technology committee ($3,000). In
addition, each independent director receives $145,000 in shares of company stock each year, payable after service
on the board has ended. Additional information about director compensation can be found under “Director

foster a long-term focus
provide compensation consistent with the level of job responsibility and the market for pharmaceutical
talent
be efficient and egalitarian
appropriately mitigate risk
consider shareholder input.
