19. SUBSEQUENT EVENTS
The Company has entered into definitive agreements to acquire a controlling interest in two of its international affiliates in exchange
for approximately $20 million in cash and approximately 8 million shares of the Company's common stock. A substantial amount of
the consideration paid is expected to be allocated to goodwill, which will be amortized over 20 years.
