• on each date on which we hold our annual meeting of shareholders, each non-employee director in office
immediately before and after the annual election of directors receives an automatic grant of options to
purchase 3,750 shares of our common stock.
Directors who are employees receive no additional or special compensation for serving as directors. The Co-
Chairmen of our Board of Directors and all non-employee directors receive an annual fee of $15,000. The Co-Chairmen
of the Board each receive an additional annual fee of $15,000. Non-employee directors who serve as members of our
Audit Committee receive an annual fee of $10,000 and non-employee directors who serve on our Corporate
Governance, Nominating and Compensation Committee receive an annual fee of $10,000. The Chairmen of our Audit
Committee and our Corporate Governance, Nominating and Compensation Committee each receive an additional
annual fee of $4,000. In addition, all non-employee directors receive the following meeting attendance fees:
