Introduction
The members of the Finance Committee are independent directors, as defined by its charter and the
rules of the NASDAQ Stock Market.
Key Objective
The Finance Committee’s responsibilities include being available, as needed, to evaluate and consult
with and advise our management and our Board with respect to capital structure and capital policies,
events and actions that could impact capital structure, payment of dividends, share repurchases,
borrowing practices, debt or equity financings, credit arrangements, investments, mergers,
acquisitions, joint ventures, divestitures and other similar transactions.
Further Areas of Responsibility
Assists in the engagement of investment and financial advisors and consultants in proposed
financial transactions.
Reviews and approves entry into swaps, including adopting and reviewing the policy relating to the
use of the non-financial end-user exception for the clearance of swap transactions.
2015 Highlights
The Finance Committee was focused in 2015 on the Office Depot acquisition financing, as well as
our capital structure, dividend policy, hedging policy, share repurchase program and related topics.
