Market Price of Common Stock
The Company’s Common Stock is traded on the Nasdaq
National Market under the symbol SNDK. SanDisk’s initial
public offering of stock was November 8, 1995 at $10.00
per share. The following table lists the high and low sales
price for each quarter during the last three years.

As of March 15, 1999, there were approximately 212 stock-
holders of record. The Company has never declared or paid
any cash dividends on its Common Stock and does not
expect to pay cash dividends on its Common Stock in the
foreseeable future. In addition, the Company’s existing line
of credit agreement currently prohibits the payment of cash
dividends without the bank’s consent. The Company currently
intends to retain its earnings, if any, for use in its business.
