Dividend Policy
We have not declared or paid any cash dividends on our common stock and currently do not anticipate paying any cash dividends in the foreseeable
future. Instead, we intend to retain all available funds and any future earnings for us in the operation and expansion of our business. Any future determination
relating to dividend policy will be made at the discretion of our board of directors and will depend on our future earnings, capital requirements, financial
condition, future prospects, applicable Delaware law, which provides that dividends are only payable out of surplus or current net profits, and other factors
that our board of directors deems relevant. In addition, our credit facility restricts our ability to pay dividends. See "Management's Discussion and Analysis of
Financial Condition and Results of Operations – Liquidity and Capital Resources – Our Indebtedness – Credit Facility" and note 7 to our financial statements
included elsewhere in this Annual Report on Form 10-K.
