Repurchase of Equity Securities by the Company
On October 21, 2008, our Board of Directors authorized management to repurchase up to 6,000,000 shares of our outstanding common
stock. Under this authorization, the timing and actual number of shares subject to repurchase are at the discretion of management and are
contingent on a number of factors, such as levels of cash generation from operations, cash requirements for acquisitions and our share price.
During the years ended December 31, 2011, 2010 and 2009, we did not repurchase any shares of common stock under this repurchase
authorization. However, we repurchased approximately 25,000 shares or $926,000 of common stock related to the lapse of RSUs during the year
ended December 31, 2011.
The following selected consolidated financial data are qualified in their entirety, and should be read in conjunction with, the consolidated
financial statements and related notes thereto, and “Management’s Discussion and Analysis of Financial Condition and Results of Operations”
included elsewhere in this Form 10-K.
We derived the selected consolidated statement of operations data for the years ended December 31, 2011, 2010 and 2009 and the selected
consolidated balance sheet data as of December 31, 2011 and 2010 from our audited consolidated financial statements appearing elsewhere in
this Form 10-K. We derived the selected consolidated statement of operations data for the years ended December 31, 2008 and 2007 and the
selected consolidated balance sheet data as of December 31, 2009, 2008 and 2007 from our audited consolidated financial statements, which are
not included in this Form 10-K. Historical results are not necessarily indicative of results to be expected for future periods.
