11.
Written Notice.
Any Written Notice that is required under this License shall be in writing and shall be deemed delivered upon actual
delivery to the other party in the case of hand delivery, which includes delivery by a recognized courier (such as FedEx), or upon
deposit thereof in the United States mail by certified mail return receipt requested (provided the address for notice is in the United
States), with postage thereon fully prepaid, addressed as follows:

12.
Confidentiality and Unauthorized Disclosure.
12.1.
Nondisclosure. The Receiving Party agrees that it will not disclose Confidential Information to any third party, directly or
indirectly, under any circumstances or by any means, without the Disclosing Party’s prior written consent. Subject to the
foregoing prohibitions, Buyer may exploit engineering and design information concerning Fitness Products and Accessories
in the Commercial Channel as Buyer deems appropriate.
12.2.
Nonuse. The Receiving Party further agrees that it will not use Confidential Information except as may be necessary to
perform its obligations and/or exercise its rights under this License.
