License Grants
2.1.
All licenses granted herein are subject to all the terms of this Agreement, including § 2.19.
2.2.
Nautilus hereby grants to Buyer a non
-exclusive license to use the
Nautilus Marks
in the Commercial Channel on Cardio
Products sold at a price meeting or exceeding the Minimum Invoice Price.
2.3.
Nautilus hereby grants to Buyer a non
-
exclusive license to use the
Commercial Marks
in the Commercial Channel on Cardio
Products sold at a price meeting or exceeding the Minimum Invoice Price.
2.4.
Nautilus hereby grants Buyer a non
-
exclusive license to the
Nautilus Patents
to make, have made, use, sell, offer to sell, and
import Nautilus Branded and Commercial Branded Cardio Products in the Commercial Channel.
2.5.
Nautilus hereby grants Buyer a non
-exclusive license to the
Commercial Patents
to make, have made, use, sell, offer to sell,
and import Nautilus Branded and Commercial Branded Cardio Products in the Commercial Channel.
2.6.
Nautilus hereby grants to Buyer a non
-exclusive license to use the Nautilus Marks and the Commercial Marks in the
Commercial Channel on
Marketing Collateral
associated with the commerce of Cardio Products.
2.7.
Nautilus hereby grants Buyer a non
-
exclusive license to the
Other Commercial IP
to use, sell, offer to sell, import,
reproduce, and make derivate works relating to Nautilus Branded and Commercial Branded Cardio Products in the
Commercial Channel.
2.8. For the avoidance of doubt, the licenses to the Nautilus Patents and the Commercial Patents (prior to assignment) extend to
Nautilus Branded and Commercial Branded goods only.
