Set forth below is a line graph comparing the yearly percentage change in the cumulative total stockholder return on shares of our common stock against
(i) the cumulative total return of all companies listed on the S&P 500 and (ii) the cumulative total return of the S&P 500 Telcom sector. The period compared
commences on February 4, 2005 and ends on December 31, 2010. This graph assumes that $100 was invested on February 4, 2005 (the date of the initial
public offering of our Old Common Stock) in our Old Common Stock and in each of the market index and the sector index at the closing price for FairPoint
Communications and the respective indices, and that all cash distributions were reinvested. As a result of the Chapter 11 Cases, on the Effective Date, the Old
Common Stock was cancelled. Accordingly, the Old Common Stock price performance shown on the graph is not indicative of the future price performance of
our Common Stock which was issued pursuant to the Plan.
The table below provides information, as of the end of the most recently completed fiscal year, concerning securities authorized for issuance under our
equity compensation plans. On the Effective Date, in accordance with the Plan, all equity compensation plans in effect at the end of the most recently
completed fiscal year were terminated and all awards thereunder were cancelled and extinguished.
