Market Information
Our common stock has been listed on the NASDAQ under the symbol “LOCO” since July 25, 2014. Prior to that date, there was no established
public trading market for our common stock.
The following table sets forth, for the periods indicated, the high and low intraday sale prices for our common stock on the NASDAQ, as
reported by the NASDAQ. Such quotations represent interdealer prices without retail markup, markdown, or commission, and may not
necessarily represent actual transactions.
As of February 27, 2015, the closing price per share of our common stock on the NASDAQ was $24.59.
As of February 27, 2015, there were approximately 10 holders of record of our common stock. The number of holders of record is based upon
the actual number of holders registered at such date and does not include holders of shares in “street name” or persons, partnerships, associates,
corporations, or other entities in security position listings maintained by depositories. As of the same date, there were approximately 14,250
registered and beneficial accounts.
Dividend Policy
We do not expect to pay dividends in the foreseeable future because we intend to use cash flow generated by operations to grow our business.
Any future determination otherwise will be at the discretion of our board of directors and depend upon our financial condition, results of
operations, capital requirements, and other factors. In addition, the 2014 Revolver (defined below) restricts our ability to pay dividends. See
Item 7, “Management’s Discussion and Analysis of Financial Condition and Results of Operations” and Item 1A, “Risk Factors—Risks Related
to Ownership of Our Common Stock.”
Issuer Purchases of Equity Securities
In the quarterly period ended December 31, 2014, neither we nor any affiliated purchaser made or had made on our or its behalf any purchases of
equity securities, including for exercise price and tax withholdings related to awards under our compensation plans.
