15.
This Agreement may only be amended by the parties hereto for the time being in writing.
16.
This Agreement may be executed in any number of counterparts and by the parties hereto on different counterparts each of which when so executed and
delivered shall be an original but all the counterparts together shall constitute one and the same agreement.
17.
If a provision of this Agreement is or becomes illegal, invalid or unenforceable in any jurisdiction, that shall not affect:
(a) the legality, validity or enforceability in that jurisdiction of any other provision of this Agreement; or
(b) the legality, validity or enforceability in other jurisdictions of that or any other term of this Agreement.
18.
A person who is not a party to this Agreement has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce or enjoy the benefit of
any term of this Agreement but this does not affect any right or remedy of a third party which exists or is available apart from the Act.
19.
19.1
This Agreement and any non-contractual obligations arising out of or in connection with it shall be governed by, and construed in accordance with,
English law.
19.2
The courts of England have exclusive jurisdiction to settle any dispute (a “ ”), arising out of or in connection with this agreement (including a
Dispute relating to the existence, formation, validity, enforceability, performance, interpretation or termination of this Agreement or any non-contractual
obligation arising out of or in connection with this Agreement) or the consequences of its nullity.
