(a) Carnival plc entered into a new Southampton office lease agreement for 150,000 square
feet to replace the existing Southampton leased facility, which is expected to be
occupied during fiscal 2009.
In addition, we own and/or lease port facilities that we operate in Barcelona, Spain,
Cozumel, Mexico, Grand Turk, the Turks & Caicos Islands, Juneau, Alaska, Long Beach,
California and Savona, Italy.
Our cruise ships, headquarters, port and shoreside facilities and Holland America
Tours' and Princess Tours' properties, are all well maintained and in good condition. We
evaluate our needs periodically and obtain additional facilities when deemed necessary. We
believe that our facilities are adequate for our current needs.
Our cruise ships and Holland America Line's and Princess' private islands, Half Moon
Cay and Princess Cays, respectively, are briefly described in Part I, Item 1. Business. B.
"Cruise Operations." The hotel properties associated with Holland America Tours and
Princess Tours operations, substantially all of which are owned, are briefly described in
Part I, Item 1. Business. A. "General."
Item 3. Legal Proceedings.
In January 2006, a lawsuit was filed against Carnival Corporation and its subsidiaries
and affiliates, and other unaffiliated cruise lines in the U.S. District Court for the
Southern District of New York on behalf of James Jacobs and a purported class of owners of
intellectual property rights to musical plays and other works performed in the U.S. The
plaintiffs claim infringement of copyrights to Broadway, off Broadway and other plays. The
suit seeks payment of (i) damages, (ii) disgorgement of alleged profits and (iii) an
injunction against future infringement.
The Office of the Attorney General of Florida ("Attorney General") is conducting an
investigation to determine whether there is or has been a violation of Florida antitrust
laws in connection with the setting by us and other unaffiliated cruise lines of certain
fuel supplements. We are providing our full cooperation to the Attorney General's office.
