We have audited, in accordance with the standards of the Public Company Accounting Oversight
Board (United States), the consolidated balance sheets of Atmos Energy Corporation at September
30, 2010 and 2009, and the related consolidated statements of income, shareholders’ equity, and cash
ows for each of the three years in the period ended September 30, 2010 (not presented separately
herein); and in our report dated November 12, 2010, we expressed an unqualied opinion on those
consolidated nancial statements.
In our opinion, the information set forth in the accompanying condensed consolidated nancial
statements is fairly stated in all material respects in relation to the consolidated nancial statements
from which it has been derived.
We also have audited, in accordance with the standards of the Public Company Accounting Oversight
Board (United States), the eectiveness of Atmos Energy Corporation’s internal control over nancial
reporting as of September 30, 2010, based on criteria established in Internal Control—Integrated
Framework issued by the Committee of Sponsoring Organizations of the Treadway Commission
and our report dated November 12, 2010 (not presented separately herein) expressed an unqualied
opinion thereon.
