EMC’s purchases in the above table does not indicate that EMC is deemed to be an “affiliated purchaser” with respect to the VMware
stock repurchase program discussed in the following footnote. Shares purchased by EMC remain issued and outstanding.
(3) On March 2, 2010, our Board of Directors approved a stock repurchase program, authorizing the purchase of up to $400.0 million of our
Class A common stock through the end of 2011 (the “VMware Repurchase Program”). Stock will be purchased pursuant to this program,
from time to time, in the open market or through private transactions, subject to market conditions. In the three months ended
December 31, 2010, we repurchased in open market transactions and retired 650,960 shares of our Class A common stock at a weighted-
average price of $80.76 per share for an aggregate purchase price of $52,574,441. We are not obligated to purchase any shares under our
stock repurchase program. Subject to applicable laws, repurchases under the stock repurchase program may be made at such times and in
such amounts as we deem appropriate. Purchases under the stock repurchase program can be discontinued at any time that we feel
additional purchases are not warranted.
(4) Represents the amount remaining in the VMware Repurchase Program as of the end of each month and does not include potential
purchases by EMC.
