In connection with Mr. Brelsford’s resignation from the position of Chief Legal Officer and Senior Vice
President of IP Licensing, because Mr. Brelsford’s resignation took effect during a closed trading window under
the terms of the Company’s insider trading policy, the Compensation Committee amended the terms of
Mr. Brelsford’s options such that the three (3) month post-termination exercisability period referenced above
began on the first day on which the trading window re-opened following the public announcement of the
Company’s earnings for the fourth quarter of fiscal year 2012. Under these amended terms, the vested portion of
Mr. Brelsford’s options will remain exercisable until April 27, 2013. The Company recorded share-based
expense in the fourth quarter of fiscal year 2012 associated with this modification to Mr. Brelsford’s options.
The stock options granted to the Named Executive Officers during fiscal year 2012 do not include any
dividend or dividend equivalent rights.
