(i) Liens existing on the Closing Date and set forth on Schedule 1.1(b) and any extension, renewal or replacement (or
successive extensions, renewals or replacements), in whole or in part, of any Lien referred to in this definition; provided that
such extension, renewal or replacement Lien shall be limited to all or a part of the property which secured the Lien so extended,
renewed or replaced (plus improvements on such property);
(j) Liens arising in the ordinary course of business by virtue of any contractual, statutory or common law provision
relating to banker's Liens, rights of set-off or similar rights and remedies covering deposit or securities accounts (including funds
or other assets credited thereto) or other funds maintained with a depository institution or securities intermediary;
(k) any zoning, building or similar laws or rights reserved to or vested in any Governmental Authority;
(l) restrictions on transfers of securities imposed by applicable Securities Laws;
(m) Liens arising out of judgments or awards not resulting in an Event of Default; provided that the applicable Credit
Party or Subsidiary shall in good faith be prosecuting an appeal or proceedings for review;
(n) any interest or title of a lessor, licensor or sublessor under any lease, license or sublease entered into by any Credit
Party or any Subsidiary thereof in the ordinary course of its business and covering only the assets so leased, licensed or
subleased;
(o) Liens in favor of the Administrative Agent, Issuing Lender and/or Swingline Lender to Cash Collateralize or
otherwise secure the obligations of a Defaulting Lender to fund risk participations hereunder;
(p) assignments of insurance or condemnation proceeds provided to landlords (or their mortgagees) pursuant to the
terms of any lease and Liens or rights reserved in any lease for rent or for compliance with the terms of such lease;
(q) Liens on the assets of Excluded Foreign Subsidiaries so long as the principal amount of Indebtedness and other
obligations (in addition to the Indebtedness which is the subject of Section 6.1(b)) secured thereby does not exceed €5,000,000 in
the aggregate;
(r) Liens in the form of a mortgage with respect to the Indiana Project;
