(e) Further Assurances. Upon the reasonable request of the Administrative Agent, promptly perform or cause to be
performed any and all acts and execute or cause to be executed any and all documents for filing under the provisions of the UCC
or any other Requirement of Law which are necessary or advisable to maintain in favor of the Administrative Agent, for the
benefit of the Secured Parties, Liens on the Collateral that are duly perfected in accordance with the requirements of, or the
obligations of the Credit Parties under, the Credit Documents and all applicable Requirements of Law.
(f) Post-Closing Items.
(i) Deposit Account Control Agreements . Within thirty (30) days after the Closing Date (or such longer period of
time as agreed to by the Administrative Agent in its sole discretion), the Company shall deliver Deposit Account Control
Agreements reasonably satisfactory to the Administrative Agent to the extent required to be delivered pursuant to Section 6.14.
(ii) Securities Account Control Agreements . Within thirty (30) days after the Closing Date (or such longer period of
time as agreed to by the Administrative Agent in its sole discretion), the Company shall deliver Securities Account Control
Agreements reasonably satisfactory to the Administrative Agent to the extent required to be delivered pursuant to Section 6.14.
(iii) Real Property Collateral. Within thirty (30) days after the Closing Date (or such longer period of time as agreed to
by the Administrative Agent in its sole discretion), the Company shall deliver:
(A) evidence as to (A) whether any Mortgaged Property is a Flood Hazard Property and (B) if any Mortgaged
Property is a Flood Hazard Property, (x) whether the community in which such Mortgaged Property is located is
participating in the National Flood Insurance Program, (y) the applicable Credit Party's written acknowledgment of
receipt of written notification from the Administrative Agent (I) as to the fact that such Mortgaged Property is a Flood
Hazard Property and (II) as to whether the community in which each such Flood Hazard Property is located is
participating in the National Flood Insurance Program and (z) copies of insurance policies or certificates of insurance of
the Credit Parties and their Subsidiaries evidencing flood insurance reasonably satisfactory to the Administrative Agent
and naming the Administrative Agent as loss payee on behalf of the Lenders; and
(B) at the request of the Administrative Agent, an appraisal of each owned Mortgaged Property, in form and
substance reasonably satisfactory to the Administrative Agent.
