Approval of Proposal 2 requires the
affirmative vote of the holders of a majority of
shares present in person or represented by proxy
and entitled to vote on the proposal. Any broker
non-votes will not be counted in determining the
number of shares necessary for approval of the
proposal, assuming a quorum is obtained.
Abstentions will have the same effect as a vote
against Proposal 2.
THE BOARD OF DIRECTORS RECOMMENDS
THAT YOU VOTE FOR PROPOSAL 2 TO
APPROVE THE 2008 PERFORMANCE
INCENTIVE PLAN AS DESCRIBED ABOVE AND
SET FORTH IN EXHIBIT A HERETO.
