The following schedules (the “Schedules”) are delivered pursuant to that Credit Agreement dated as of the date hereof by and among the parties listed
above (the “Agreement”). The sections of the Schedules correspond to the principal sections of the Agreement to which such schedule relates.
The following Schedules are qualified in their entirety by reference to the specific provisions of the Agreement, and are not intended to constitute, and
shall not be construed as constituting, representations or warranties of the Loan Parties, except as and to the extent provided in the Agreement.
Matters reflected in the following Schedules are not necessarily limited to matters required by the Agreement to be reflected in the Schedules. Such
additional matters are set forth for informational purposes only. In no event shall any disclosure of such additional matters be deemed or interpreted to
broaden or otherwise amend any of the covenants or representations and warranties in the Agreement.
Headings have been inserted on the Sections of the Schedules for convenience of reference only and shall to no extent have the effect of amending or
changing the express description of the Sections as set forth in the Agreement. Capitalized terms used but not otherwise defined herein shall have the
respective meanings set forth in the Agreement.
