The following financial statements as of and for the fiscal years ended September 30, 2006, 2005 and 2004 are those of Sally
Holdings, Inc. and its consolidated subsidiaries. Sally Holdings, Inc. was a wholly-owned subsidiary of Alberto-Culver until
November 16, 2006 when it was converted to a Delaware limited liability company, was renamed “Sally Holdings LLC” and became
an indirect wholly-owned subsidiary of our company in connection with the separation of our business from Alberto-Culver. Sally
Beauty Holdings, Inc. was formed on June 16, 2006 in connection with the separation of our business from Alberto-Culver.
