We do not expect to pay any cash dividends for the foreseeable future.
Effective May 20, 2013, we ceased to be a “controlled company” within the meaning of the New York Stock Exchange (“NYSE”) rules upon
completion of our May 2013 offering. However, we may continue to rely on exemptions from certain corporate governance requirements during a
one-year transition period until May 20, 2014.
