Repurchase of Equity Securities by the Company
On October 21, 2008, our Board of Directors authorized management to repurchase up to 6,000,000 shares of our outstanding common
stock. Under this authorization, the timing and actual number of shares subject to repurchase are at the discretion of management and are
contingent on a number of factors, such as levels of cash generation from operations, cash requirements for acquisitions and our share price. We
repurchased a total of 1,168,780 shares under this program during the year ended December 31, 2008. During the years ended December 31,
2010 and December 31, 2009, we did not repurchase any shares of common stock under this repurchase authorization. However, we repurchased
approximately 32,000 shares or $738,000 of common stock related to the lapse of restricted stock units during the year ended December 31,
2010.
