Employee Benefit Plan:
In April 2000, the Company adopted the NETGEAR 401(k) Plan to which employees may contribute up to 15% of salary subject to the
legal maximum. The Company contributes an amount equal to 50% of the first 5% of the employees’ contribution. The maximum
Company contribution is $1,500per year per employee. The Company expensed $130,000, $233,000 and $279,000 related to the
NETGEAR 401(k) Plan in the years ended December31, 2002, 2003 and 2004, respectively.
