In our opinion, because of the effect of the material weakness identified above on the achievement of the objectives of the control criteria, the
Company has not maintained effective internal control over financial reporting as of December 31, 2007, based on the criteria established in
Internal Control
– Integrated Framework issued by the Committee of Sponsoring Organizations of the Treadway Commission.
We have also audited, in accordance with the standards of the Public Company Accounting Oversight Board (United States), the consolidated
financial statements as of and for the year ended December 31, 2007, of the Company and our report dated March 17, 2008 expressed an
unqualified opinion on those financial statements and included an explanatory paragraph regarding the Company’s adoption of Financial
Accounting Standards Board Interpretation No. 48, Accounting for Uncertainty in Income Taxes – an interpretation of FASB Statement No. 109,
on January 1, 2007.
