Beneficial Ownership of Our Common Stock
The following table sets forth certain information regarding the ownership of LeapFrog’s Class A
common stock and Class B common stock (convertible into Class A common stock) as of March 31, 2013,
by: (i) each director; (ii) each of the executive officers named in the Summary Compensation Table later in
this proxy statement; (iii) all executive officers and directors of LeapFrog as a group; and (iv) all those known
by LeapFrog to be beneficial owners of more than five percent of our Class A or Class B common stock.
Information with respect to beneficial ownership has been furnished by each director, executive officer or
beneficial owner of more than five percent of the shares of our Class A or Class B common stock.
Beneficial ownership is determined in accordance with SEC rules, which generally attribute beneficial
ownership of securities to each person who possesses, either solely or shared with others, the power to vote or
dispose of those securities. These rules also treat as outstanding all shares of capital stock that a person would
receive upon exercise of stock options held by that person that are immediately exercisable or exercisable
within 60 days of March 31, 2013. These shares are deemed to be outstanding and to be beneficially owned
by the person holding those options for the purpose of computing the number of shares beneficially owned
and the percentage ownership of that person, but they are not treated as outstanding for the purpose of
computing the percentage ownership of any other person. Unless otherwise indicated and to the extent known,
the persons or entities identified in this table have sole voting and investment power with respect to all shares
shown as beneficially owned by them, subject to applicable community property laws.
