the company by employees for tax withholding purposes in conjunction with the vesting of restricted shares held

(1) On August 17, 2001, the Board of Directors authorized the company to purchase up to 2,000,000 Common
Shares, excluding any shares acquired from employees or directors as a result of the exercise of options or
vesting of restricted shares pursuant to the company’s performance plans. To date, the company has
purchased 637,100 shares with authorization remaining to purchase 1,362,900 more shares. The company
purchased no shares pursuant to this Board authorized program during 2009.
