or at any other address designated by any party to this Agreement to each of the other parties in writing. Notwithstanding the foregoing, notice to the
Shareholder Representative following the Closing shall constitute notice to all Shareholders without regard to whether any Shareholder is copied in accordance
with the foregoing provisions, provided, however, Buyer shall use its best efforts to deliver any such notice to each Shareholder at their respective addresses
set forth in this Section 12.3.
12.4 Counterparts. This Agreement may be executed simultaneously in any number of counterparts, each of which when so executed and
delivered shall be taken to be an original; but such counterparts shall together constitute but one and the same document.
12.5 Severability. Whenever possible, each provision of this Agreement shall be interpreted in such a manner as to be effective and valid under
applicable law, but if any provision of this Agreement shall be deemed prohibited if or invalid under such applicable law, such provision shall be ineffective
only to the extent of such prohibition or invalidity, and such prohibition or invalidity shall not invalidate the remainder of such provision or the other
provisions or this Agreement.
12.6 Complete Agreement. Except insofar as it refers to other agreements and instruments to Related Documents, this Agreement is intended by
the parties hereto to be a complete and final expression of their agreement, superseding any prior arrangement or understanding, written or oral with respect to
the subject matter. This Agreement may not be contradicted by evidence of any prior or contemporaneous oral agreement.
