Within 90 days prior to the filing date of this Annual Report, the Company carried out an evaluation, under the supervision and with the
participation of the Company's management, including the Company's Chief Executive Officer and Chief Financial Officer, of the
effectiveness of the Company's disclosure controls and procedures (as defined in rule 15d-14(c) of the Exchange Act).
Based upon that evaluation, the Company's Chief Executive Officer and Chief Financial Officer have concluded that the Company's
disclosure controls and procedures (a) are effective to ensure that information required to be disclosed by the Company in this Annual Report
has been timely recorded, processed, summarized and reported and (b) include, without limitation, controls and procedures designed to
ensure that information required to be disclosed by the Company in this Annual Report has been accumulated and communicated to the
Company's management, including its Chief Executive Officer and Chief Financial Officer, as appropriate to allow timely decisions
regarding required disclosure.

There have been no significant changes in the Company's internal controls or in other factors that could significantly affect these controls
subsequent to the date of the Company's evaluation.
