designated capacity until otherwise directed by the Board. From time to time the Board may increase the size of any Committee and appoint additional

by such provisions.

(ii) to select the Employees and Consultants to whom Options and Stock Purchase Rights may from time to time be granted;
(iii) to determine whether and to what extent Options and Stock Purchase Rights are granted;

determine; provided, that the Administrator shall have the authority to determine terms and conditions of acceleration of vesting of any award
granted hereunder that are inconsistent with the terms of the Plan (including Section 14(c) and the defined terms used therein) based on such
factors as the Administrator, in its sole discretion, shall determine, and that such terms and conditions, if any, will be reflected in the agreement
representing such award;
