The Company is required to file as an Exhibit to its Form 10-K for the fiscal year 2007 Certifications under
Section 302 of the Sarbanes-Oxley Act signed by the Chief Executive Officer and Chief Financial Officer. In
addition, the Company will be required to submit to the New York Stock Exchange (“NYSE”) a certification
(an “Annual CEO Certification”) signed by the Chief Executive Officer following the 2008 Annual Meeting
certifying that he is not aware of any violation by the company of NYSE corporate governance listing
standards as of the date of the certification. An Annual CEO Certification, dated July 3, 2007, was submitted
to the NYSE on such date.
