Revaluation Date” shall mean each of the following: (a) each date a Loan is made pursuant to Section 2.1; (b) each date a Loan is
converted to or continued as a LIBOR Rate Loan pursuant to the terms of this Agreement; (c) each date a Revolving Loan is made to
reimburse a Swingline Loan or drawing under a Letter of Credit or a Participation Interest is required to be purchased in an outstanding
Swingline Loan or outstanding LOC Obligation pursuant to the terms of this Agreement; (d) the last Business Day of each calendar
month; and (e) such additional dates as the Administrative Agent or the Required Lenders shall reasonably specify.
Revolving Availability Amount” shall mean, with respect to the U.S. Revolving Loans, (a) on the Closing Date, $40,000,000,
(b) for the period from and including the day following the Closing Date to and including August 31, 2012, $60,000,000, (c) for the
period from and including September 1, 2012 to and including November 30, 2012, $80,000,000, (d) for the period from and including
December 1, 2012 to and including August 31, 2013, $60,000,000, (e) for the period from and including September 1, 2013 to and
including November 30, 2013, $80,000,000 and (f) for the period from and including December 1, 2013 to and including the Maturity
Date, $60,000,000.
Revolving Commitment” shall mean a U.S. Revolving Commitment and/or a Multicurrency Revolving Commitment, as
appropriate.
Revolving Commitment Percentage” shall mean for each Revolving Lender, such Lender's U.S. Revolving Commitment
Percentage and/or Multicurrency Commitment Percentage, as appropriate.
Revolving Committed Amount” shall mean the U.S. Revolving Committed Amount and/or a Multicurrency Revolving
Committed Amount, as appropriate.
Revolving Facility” shall mean the U.S. Revolving Facility and/or a Multicurrency Revolving Facility, as appropriate.
Revolving Lender” shall mean a U.S. Revolving Lender and/or a Multicurrency Revolving Lender, as appropriate.
Revolving Loan” shall mean a U.S. Revolving Loan and/or a Multicurrency Revolving Loan, as appropriate.
Revolving Loan Note” or “Revolving Loan Notes” shall mean the Revolving Loan Notes, individually or collectively, as
appropriate, as such promissory notes may be amended, modified, extended, restated, replaced, or supplemented from time to time.
S&P” shall mean Standard & Poor's Ratings Services, a division of The McGraw Hill Companies, Inc.
Sanctioned Entity” shall mean (a) a country or a government of a country, (b) an agency of the government of a country,
(c) an organization directly or indirectly controlled by a country or its government, or (d) a person or entity resident in or determined to
be resident in a country, that is subject to a country sanctions program administered and enforced by OFAC.
