The Company’s Chief Executive Offi cer and Chief Financial Offi cer
have fi led their certifi cations as required by the Securities and Exchange
Commission (the “SEC”) regarding the quality of the Company’s public dis-
closure for each of the periods ended during the Company’s fi scal year
ended January 31, 2006 and the effectiveness of internal control over fi nan-
cial reporting as of January 31, 2006 and 2005. Further, the Company’s
Chief Executive Offi cer has certifi ed to the New York Stock Exchange
(“NYSE”) that he is not aware of any violation by the Company of the NYSE
