setting forth in each case in comparative form the figures for the previous fiscal year, all reported on by independent public
accountants of national standing or otherwise reasonably acceptable to the Administrative Agent and certified by a Financial
Officer of the Borrower to the effect that such consolidated and consolidating financial statements present fairly in all material
respects the financial condition and results of operations of Shake Shack and its Subsidiaries on a consolidated and consolidating
basis in accordance with GAAP consistently applied,
(B)
the unaudited consolidated balance sheet and related statements of operations, stockholders’
equity and cash flows of
the Borrower and its Subsidiaries as of the end of and for such year, setting forth in each case in comparative form the figures for
the previous fiscal year, all certified by one of its Financial Officers as presenting fairly in all material respects the financial
condition and results of operations of the Borrower and its Subsidiaries on a consolidated basis in accordance with GAAP, and
(C)
an explanation, in reasonable detail, of any differences between the financial statements of Shake Shack and its
Subsidiaries described in the foregoing clause (A), on the one hand, and the information relating to the Borrower and its
Subsidiaries described in the foregoing clause (B), on the other hand;
(k)
Quarterly Statements –
within 45 days after the end of each of the first three fiscal quarters of each fiscal year of the Borrower, the
following:
(a)
the consolidated (and, if such fiscal quarter is the second fiscal quarter of such fiscal year, the consolidating) balance sheet
and related statements of operations, stockholders’
equity and cash flows of Shake Shack and its Subsidiaries as of the end of and for such
fiscal quarter and the then elapsed portion of the fiscal year, setting forth in each case in comparative form the figures for the
corresponding period or periods of (or, in the case of the balance sheet, as of the end of) the previous fiscal year, all certified by one of its
Financial Officers as presenting fairly in all material respects the financial condition and results of operations of Shake Shack and its
Subsidiaries on a consolidated (and consolidating, if applicable) basis in accordance with GAAP consistently applied, and
(b)
the consolidated balance sheet and related statements of operations, stockholders’
equity and cash flows of the Borrower and
its Subsidiaries as of the end of and for such fiscal quarter and the then elapsed portion of the fiscal year, setting forth in each case in
comparative form the figures for the corresponding period or periods of (or, in the case of the balance sheet, as of the end of) the previous
fiscal year, all certified by one of its Financial Officers as presenting fairly in all material respects the financial condition and results of
operations of Borrower and its Subsidiaries on a consolidated (and consolidating, if applicable) basis in accordance with GAAP
consistently applied;
