The Company has not declared or paid any dividends since its inception. The Board of Directors has
considered the declaration of a dividend and expects to give it further consideration in the future. The declaration
and payment of dividends in the future will be determined by the Company’s Board of Directors in light of
conditions then existing, including the Company’s earnings, financial condition, capital requirements and other
