Extension Period or at any time when there exists any accrued and unpaid Deferred Interest.
The notice shall specify the Securities to be redeemed and shall state:
(i) the Redemption Date;
(ii) the Redemption Price;
(iii) the Conversion Price;
(iv) the name and address of the Paying Agent and Conversion Agent;
(v) that Securities called for redemption may be converted at any time before the close of business on the Business Day immediately preceding
the Redemption Date;
(vi) that Holders who want to convert Securities must satisfy the requirements set forth therein and in this Indenture;
(vii) that Securities called for redemption must be surrendered to the Paying Agent for cancellation to collect the Redemption Price;
(viii) if fewer than all the outstanding Securities are to be redeemed, the certificate numbers (if such Securities are held other than in global
form) and Principal Amounts of the particular Securities to be redeemed;
(ix) that, unless the Company defaults in making payment of such Redemption Price, Interest will cease to accrue on and after the Redemption
Date; and
(x) the CUSIP number of the Securities.
At the Company’s written request delivered at least 30 days prior to the date such notice is to be given (unless a shorter time period shall be
acceptable to the Trustee), the Trustee shall give the notice of redemption to each Holder of Securities to be redeemed in the Company’s name and at
the Company’s expense.
Section 7.04 . Effect of Notice of Redemption. Once notice of redemption is given, Securities called for redemption become due and payable on the
Redemption Date and at the Redemption Price stated in the notice except for Securities that are converted in accordance with the terms of this
Indenture. Upon surrender to the Paying Agent, such Securities shall be paid at the Redemption Price stated in the notice.
