[a]Making or holding passive investments in outstanding shares in the securities of publicly-owned
companies or other businesses [other than organizations described in Section 4.05], regardless of
when and how that investment was made; or
[b]Serving on corporate, civic, religious, educational and/or charitable boards or committees but only
if this activity [i] does not interfere with the performance of duties under this Agreement and [ii] is
approved by the Chief Executive Officer (CEO).

 


