Also on February 20, 2007, Steve Ells, our Chairman and Chief Executive Officer, adopted a sales plan
designed to comply with Rule 10b5-1 under the Exchange Act. The sales plan, which Mr. Ells adopted in
compliance with restrictions imposed by our Insider Trading Policy, is intended to facilitate the diversification of
Mr. Ells’s personal assets. The plan provides for sales from time to time of shares of class B common stock
owned by Mr. Ells, with the timing of and number of shares to be sold in each transaction dependent upon the
market price of our class B common stock on specified days. Total sales on Mr. Ells’s behalf under the sales plan
are limited to an aggregate of 150,000 shares. In the event all of the shares subject to the sales plan are sold,
Mr. Ells would continue to beneficially own 755,050 shares of our class B common stock and 99,933 shares of
our class A common stock, including the unvested shares of restricted stock granted to Mr. Ells as described
above.
