Evaluation of Disclosure Controls and Procedures
We have established and maintain disclosure controls and procedures that are designed to ensure that material
information relating to us and our subsidiaries required to be disclosed by us in the reports that we file or submit under the
Securities Exchange Act of 1934 is recorded, processed, summarized, and reported within the time periods specified in the
SEC’ s rules and forms, and that such information is accumulated and communicated to our management, including our chief
executive officer and chief financial officer, as appropriate to allow timely decisions regarding required disclosure. In
designing and evaluating the disclosure controls and procedures, management recognized that any controls and procedures,
no matter how well designed and operated, can only provide reasonable assurance of achieving the desired control objectives,
and in reaching a reasonable level of assurance, management necessarily was required to apply its judgment in evaluating the
cost-benefit relationship of possible controls and procedures.
We carried out an evaluation, under the supervision and with the participation of our management, including our chief
executive officer and chief financial officer, of the effectiveness of the design and operation of our disclosure controls and
procedures as of the end of the period covered by this report. Based on that evaluation, the chief executive officer and chief
financial officer concluded that our disclosure controls and procedures were effective as of the date of such evaluation to
provide reasonable assurance that information required to be disclosed by the Company in the reports that it files or submits
under the Exchange Act is recorded, processed, summarized and reported within the time periods specified by the Securities
and Exchange Commission’ s rules and forms.
Management’s Report on Internal Control over Financial Reporting
Our management is responsible for establishing and maintaining adequate internal control over financial reporting.
Internal control over financial reporting is a process designed by, or under the supervision of, our chief executive and chief
financial officers and effected by our board of directors, management and other personnel to provide reasonable assurance
regarding the reliability of financial reporting and the preparation of financial statements for external purposes in accordance
with U.S. generally accepted accounting principles and includes those policies and procedures that:
pertain to the maintenance of records that in reasonable detail accurately and fairly reflect the transactions and
dispositions of our assets;
provide reasonable assurance that transactions are recorded as necessary to permit preparation of financial
statements in accordance with generally accepted accounting principles, and that our receipts and expenditures are
being made only in accordance with the authorizations of our management and directors; and
provide reasonable assurance regarding prevention or timely detection of unauthorized acquisition, use or
disposition of our assets that could have a material effect on our financial statements.
Because of inherent limitations, internal control over financial reporting may not prevent or detect misstatements.
Projections of any evaluation of effectiveness to future periods are subject to the risks that controls may become inadequate
because of changes in conditions, or that the degree of compliance with policies or procedures may deteriorate. However,
these inherent limitations are known features of the financial reporting process. It is possible to design into the process
safeguards to reduce, thought not eliminate, the risk that misstatements are not prevented or detected on a timely basis.
Management is responsible for establishing and maintaining adequate internal control over financial reporting for the
company.
Management assessed the effectiveness of our internal control over financial reporting as of December 30, 2007. In
making this assessment, management used the criteria set forth by the Committee of Sponsoring Organizations of the
Treadway Commission in Internal Control-Integrated Framework. Based on this assessment, our management concluded
that, as of December 30, 2007, our internal control over financial reporting was effective to provide reasonable assurance
regarding the reliability of financial reporting and the preparation and presentation of financial statements for external
purposes in accordance with generally accepted accounting principles. Our independent registered public accounting firm,
KPMG LLP, has issued an audit report on the effectiveness of our internal control over financial reporting. That report
appears below.
