Respondents violated Subtitle C, 42 U.S.C. §§ 6921-6939g of the Resource Conservation and Recovery Act of 1976, as
amended (“RCRA”), and requirements of the federally-authorized Pennsylvania Hazardous Waste Management Regulations, in
their waste management practices for the handling of RCRA hazardous waste at a manufacturing facility in Reading, PA. The
facility was decommissioned in 2014. In October 2015, the Respondents reached an agreement with the EPA to resolve the
matter whereby Respondents paid a civil penalty in the amount of $420,000 to resolve all of EPAs claims asserted in the
Complaint and final resolution of the matter was effective November 16, 2015.

On July 23, 2014, the Board of Directors approved a new repurchase of up to 25 million shares of the Company's common
stock. As of January 2, 2016, the remaining authorized shares for repurchase is 16.1 million shares. Furthermore,
approximately 5.2 million shares are reserved for purchase in connection with the forward share purchase contracts entered into
in October 2014 and March 2015, which obligate the Company to pay $150.0 million and $350.0 million, respectively, plus
